Chapter 12 - The Board Reopens Hale Records

Hale Hospitality appointed independent counsel to review the trust
history and the Redmont transaction.
The board postponed the property sale.
Philip Dane turned over archived correspondence.
Richard’s amendment was valid.
Emily’s twelve-percent voting interest had never been properly entered
into the company’s current governance summary.
It had not vanished.
It had been overlooked.
That was bad enough.
The investigation also found Margaret had no authority to alter Hale
trust records.
Her influence came through Vanessa and personal relationships, not
formal control.
Stephen Cross’s involvement in Redmont required disclosure that had not
been adequately presented.
The board strengthened conflict-review rules.
The sale was reopened to competitive bids.
A higher offer eventually appeared.
Emily did not celebrate the number.
